Terms of Service

These Terms of Service govern your access to the VidBee website, the VidBee desktop app, and VidBee Cloud, our paid software-as-a-service for transcription and AI prompts. VidBee is operated by Nexmoe, an individual / sole trader. Paid Cloud usage is sold as one-time credit packs.

Key terms

  • The VidBee desktop app remains free to download. VidBee Cloud is the paid service for accounts, transcription, and AI prompts.
  • Paid VidBee Cloud usage is sold as one-time credit packs at $1 per 1000K credits. There is no subscription and no automatic renewal.
  • Payments are processed by Waffo Pancake, our PCI-DSS merchant of record. We do not store full payment card numbers.
  • You must be at least 18 years of age. Use VidBee lawfully. DRM circumvention and copyright infringement are prohibited.
  • AI output can be wrong. Review it before you rely on it. Card data never touches VidBee servers.

1. Acceptance of these terms

Welcome to VidBee. Nexmoe, an individual / sole trader operating the VidBee project ("VidBee," "we," "us," or "our"), provides the VidBee website at https://vidbee.org, the VidBee desktop application, and VidBee Cloud (together, the "Service").

By creating an account, purchasing credits, using VidBee Cloud, downloading the desktop app, or otherwise using the Service, you confirm that you: (a) are at least 18 years of age; (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to enter into this agreement on behalf of yourself or any organization you represent.

If you do not agree to these Terms, do not use the Service. Continued use after an update constitutes acceptance of the revised Terms.

2. Definitions and scope

"VidBee Cloud" means the hosted account, transcription, AI prompt, credit, invitation, and related cloud APIs we operate, including services available at vidbee.org and api.vidbee.org.

"Desktop app" means the open-source VidBee application for Windows, macOS, and Linux, including updates we distribute.

"Related services" include update checks, release downloads, documentation, supported-sites data, community channels such as GitHub Issues and Discord, and optional analytics or feedback tools.

These Terms apply to the website, desktop app, VidBee Cloud, documentation, and any related services we provide.

3. Description of the Service

3.1 What we provide

VidBee is a general-purpose desktop graphical interface for the open-source yt-dlp downloader, plus VidBee Cloud, an AI-powered SaaS that can transcribe media and run prompts against transcripts. The desktop app is a general-purpose tool and is not affiliated with or endorsed by any content platform.

VidBee Cloud is a digital, intangible software-as-a-service product delivered over the internet. After payment is confirmed, paid access is enabled immediately. Because delivery is immediate, refunds are limited as described in Section 8.

3.2 Desktop app and third-party content

We do not host, upload, or distribute third-party media. Content remains on the platforms you choose to access. Downloads, queues, RSS subscriptions, and media libraries in the desktop app stay on your device unless you send them to VidBee Cloud or another service.

3.3 Third-party AI models

VidBee Cloud uses third-party AI model providers through an OpenAI-compatible API to generate transcriptions and prompt output. Performance and availability may depend on those providers. We do not guarantee a specific output quality and are not responsible for content generated by third-party models. Material interruptions will be communicated when reasonably possible.

4. Account registration

4.1 Creating an account

VidBee Cloud requires an account. You sign in with GitHub OAuth using accurate information. You are responsible for keeping your login credentials confidential and for all activity under your account. The desktop app can be used without an account for local downloads.

4.2 Account security

  • If you discover unauthorized use, email [email protected] immediately.
  • Do not share login credentials with any third party.
  • Keep the email on your GitHub account current so we can send billing, security, and policy notices.

4.3 Organization accounts

If you register on behalf of a company or other organization, you represent that you are authorized to bind that entity to these Terms.

5. Credit packs

Paid VidBee Cloud usage is sold as one-time credit packs. Credits are consumed for Cloud transcription and AI prompts. The public rate and pack sizes are published on the pricing page: $1 (USD) buys 1000K credits (1,000,000 credits).

New accounts may receive a limited free Cloud allotment. Welcome credits and invitation rewards expire 6 months after they are granted. Free allotments are not a paid pack, may change, and do not create a right to paid features.

We may modify pack sizes or the published rate. Price changes apply only to future purchases.

6. Billing and payment

6.1 One-time purchase authorization

Each credit pack is a one-time transaction. Completing checkout authorizes VidBee, acting through Waffo Pancake, to charge the amount shown at checkout. We do not automatically renew or auto-top-up.

6.2 Payment processor

Paid VidBee Cloud credit packs are processed by Waffo Pancake, our PCI-DSS compliant payment processor and merchant of record. Payment card data is handled exclusively by Waffo Pancake and is not stored on VidBee servers. Charges may appear on your statement under a Waffo or VidBee billing descriptor.

6.3 Taxes

Unless stated otherwise at checkout, listed prices exclude applicable taxes (including VAT, GST, and sales tax). Where required by law, Waffo Pancake or VidBee will collect and remit those taxes.

7. Credit validity and account ending

7.1 Credit validity

Purchased credits remain available while your account is active. Welcome credits and invitation reward credits expire 6 months after they are granted. Unused gifted credits are removed at expiry and are not refundable. We will notify you before any announced expiry change takes effect.

7.2 Account termination

If an account is terminated, unused purchased credits are retained for 90 days. After that period they expire, unless applicable law requires a refund or a longer hold.

8. Refund policy

8.1 General policy

Because VidBee Cloud is a digital service delivered immediately, consumed credits are generally non-refundable except as stated below.

8.2 Refundable cases

  • Unused pack within 7 days: a credit pack that has not been used may be refunded in full within 7 days of purchase.
  • Duplicate charges: billing errors that cause a duplicate charge are refunded in full.
  • Statutory rights: if applicable law gives you a withdrawal or refund right (including the 14-day cooling-off period in the EU/UK), those rights are preserved. That right typically ends after first use of the digital service.

8.3 How to request a refund

Email [email protected] with your account email, transaction ID, and reason. We will acknowledge requests within 2 business days and complete confirmed refunds to the original payment method within 5–10 business days.

8.4 Non-refundable items

  • Credits already consumed, except as listed in Section 8.2.
  • Accounts closed for violating these Terms or the acceptable-use rules.

9. Billing disputes

If you believe a charge is wrong, email [email protected] before filing a dispute with your bank. We will reply within 2 business days and resolve confirmed billing errors within 5 business days.

10. AI content and intellectual property

10.1 Output ownership

Subject to these Terms, AI content generated from your inputs ("Output") belongs to you. You may use Output for any lawful purpose permitted by Section 13.

10.2 License to your inputs

By submitting transcripts, subtitles, prompts, video URLs, or other content to VidBee Cloud ("Input"), you grant VidBee a limited, non-exclusive license to process that Input solely to provide the Service, including quality checks and caching that operates the Cloud service. We will not use your Input to train our own AI models without your explicit consent.

10.3 Third-party model terms

Output may be influenced by third-party AI model providers. We do not guarantee particular quality and are not liable for content those models generate.

10.4 Accuracy

AI-generated transcriptions and prompt results may contain errors or omissions. You are responsible for reviewing and verifying Output before relying on it.

11. Data, privacy, and security

Your use of the Service is also governed by our Privacy Policy. Payment card data is processed exclusively by our PCI-DSS compliant payment processor, Waffo Pancake, and is not stored on our servers. Account data is retained for 90 days after cancellation and then deleted or anonymized, unless a longer period is required by law.

12. Lawful use and copyright compliance

You must use VidBee in compliance with applicable laws and the terms of the platforms you access.

VidBee does not encourage, endorse, or induce unlawful behavior. You may not use VidBee to download or access content that violates copyright or other intellectual property rights.

  • Only download content that is publicly accessible and that you have the right to use.
  • Respect copyright, licensing restrictions, and platform rules.
  • Ensure you have permission for private or restricted content before accessing it.

13. Acceptable use

13.1 Permitted use

You may use the Service only for lawful purposes consistent with these Terms, including personal productivity, research, and internal business workflows.

13.2 Prohibited conduct

The following actions are prohibited and constitute a material breach of these Terms:

  • Using VidBee to download, distribute, or facilitate access to content that infringes copyright or other rights.
  • Generating illegal, defamatory, harassing, or fraudulent content.
  • Generating, distributing, or assisting in the creation of deepfakes, including AI-synthesized audio, video, or images that impersonate a real person or are intended to mislead viewers about origin or authenticity.
  • Generating sexualized content involving minors or any content that violates child-protection laws.
  • Creating malware, phishing content, or cyber-attack tools.
  • Bypassing, disabling, or interfering with security-related features, access controls, or copy-protection mechanisms, including features that limit copying or downloading.
  • Attempting to reverse engineer, disrupt, or compromise VidBee, its updates, or related services, except to the extent permitted by the open-source license for the desktop app.
  • Reselling or sublicensing access without prior written approval.
  • Violating any applicable law, regulation, or card-network rule.

13.3 AI-specific restrictions

You also agree not to:

  • Use Service inputs, outputs, model responses, or derivatives to train, fine-tune, benchmark, distill, or otherwise develop an AI or machine-learning model that competes with VidBee Cloud.
  • Systematically scrape, extract, or harvest model output at scale for any purpose other than your own authorized use.
  • Present AI-generated content as the work of a licensed professional, such as a doctor, lawyer, or financial adviser, in settings where that would cause harm.

14. DRM-protected content

VidBee does not support downloading DRM-protected content. We do not encourage, endorse, or induce DRM circumvention in any form.

DRM typically encrypts media so it can only be decrypted by authorized apps and devices. Decryption keys are provided through provider-controlled key or license servers. VidBee does not have access to those systems and will not attempt to obtain or bypass decryption keys.

15. Third-party services and components

VidBee interacts with third-party websites and services you choose to access, including GitHub for sign-in, Waffo Pancake for payments, Cloudflare for hosting, and AI model providers for Cloud generation. Those parties control their own content, policies, and availability.

We are not responsible for third-party content, policies, or disputes between you and a third party.

The desktop app uses open-source components such as yt-dlp and FFmpeg. Each component is licensed by its respective authors. Notices and license texts are provided in the source repository and distribution packages where applicable. You agree to comply with those third-party license terms.

16. Licenses and branding

The VidBee desktop app is open-source software. The code is made available under the license published in the VidBee repository. You must comply with that license when using, modifying, or distributing that software.

VidBee Cloud, including hosted APIs, account systems, and paid features, is a proprietary service except where we publish specific components under an open-source license.

The VidBee name, logo, and branding are protected and may not be used without permission.

17. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, including merchantability, fitness for a particular purpose, or accuracy of AI output. We do not guarantee that VidBee will be error-free, uninterrupted, or compatible with every platform.

18. AI-generated content disclaimer

AI output from VidBee Cloud may be inaccurate, incomplete, or outdated. Do not use it as legal, medical, financial, or other professional advice. Verify important facts with a qualified professional before acting on AI content.

19. Limitation of liability

To the maximum extent permitted by law, VidBee and its contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits arising from your use of the Service.

Our total liability is limited to the amounts you paid us for the Service in the 12 months before the claim. If you have not paid us, your sole remedy is to stop using the Service.

20. Indemnification

You agree to defend, indemnify, and hold harmless VidBee, Nexmoe, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

21. Term and termination

These Terms remain in effect while you use the Service. We may suspend or terminate your account, Cloud access, or updates if you materially breach these Terms, we reasonably suspect fraud, or law requires it.

If we terminate paid Cloud access for a reason other than your breach, we will refund unused purchased credits. You may request account deletion at any time by emailing [email protected].

22. Governing law and dispute resolution

These Terms are governed by the laws applicable to Nexmoe's operation of the VidBee project, without regard to conflict-of-law principles.

Before filing a formal proceeding, email [email protected] and attempt an informal resolution. Any disputes that remain will be resolved in the courts of that jurisdiction, unless mandatory local law provides otherwise.

23. Changes to these terms

We may update these Terms at any time. Material changes will be announced at least 14 days before they take effect, by email to your account address or by a notice on vidbee.org, and we will revise the "Last updated" date. Continued use after the effective date constitutes acceptance. If any provision is held invalid, the remaining terms stay in force. These Terms and the Privacy Policy are the complete agreement between you and VidBee.
